Chriz. is an expert regarding 3ds Max: he would know best.
However (to the extent of my knowledge at any rate) the program itself (or its optional plug in Warcraft III Art Tools 1.0) allows the direct export and conversion of files from .max to .mdx formats.

I have a question for you: do you even know how to use 3ds max? If you don't, then follow the tutorials that come with it. If you do, then run the art tools installer by following the installation's instructions. To find out how to use the art tools you'll find all about in the art tools documentation.
