Isn't mtl WoW format? Therefore, I presume that he would try to import a WoW model into warcraft 3. I do not know any tool which could do this though. There were some importers for 3dsmax but I do not have them anymore.

yes, mtl stands for materials,
also i dont think a mtl converter is out

But how do you expect to convert it to .mdl? .mdl is a model, .mtl (materials) is something totally different
