well if wc3 uses mdx for model files so you will need a 3ds to mdx converter. But then to apply the skin and edit other things you need to change the mdx to mdl to edit the text (in notepad) so you will need wc3fileconverter (you can find the tools at this site). Then you change your mdl back to an mdx and you can import with your skins (.blps). A tutorial will help you so search for one on google. There are some at wc3c too.
No, you just need 'DeX Script, which can be used to export from 3ds max to MDL. Then you need War3FileConveter to convert it t MDX. That's all. You can find 'DeX Script with a search on Wc3Campaigns.com.
