It's really, really, really flat. The face needs much more shape, right now it looks like it's made from cardboard. It's not so much the shading (though that could be improved as well) but the placement and shape of the eyes and teeth. Those lower eyes should be looking forwards instead of up. A part of the head should also be visible under the teeth.
The purple circle looks like a floor, because of the weird angle of the leg on the bottom of the icon and absense of shadows on the floor, it looks like the spider lies on the ground instead of standing on it, adding to the feeling of flatness.

A quick sketch to illustrate my point:

The glow in the upperleft corner looks weird as well, I can't tell what it is.

The icon itself was much better. The definition seems good.

The only thing that seems a bit wrong, are the chelicerae. They are making the face seem too spherical.

This looks better than the previous version, and reminds me of Quadraxis of the Metroid Prime franchise.

However, I don't see how this resembles an actual spider, it's very hard to decipher.
