enjoy: You stated in the comments that you are just learning to paint. I am not trying to be harsh on you now. Painting on a computer is quite tricky to begin with, even if you are one of the most talented artists out there. So you will need practice. But your first attempt will not be good enough for an icon. Neither will your second. Hell, you may have to do 15 icons before it gets approved. You just gotta hang on and continue. Because in the end, the hard work will pay up.

Now, the shading is very dark, so you need to throw some midtones in there, because the contrast is too big. But the blending of the colors are good on the phantom. You could have blended the background better though.
And even though he is a phantom, and that might be the reason he doesn't have much of a face and looks kinda ghostish, the anatomy is still off. I mean, one of his eyes is only half connected to his face. Also, he has no neck. :( Poor phantom man. And what kind of haircut did you give him? :( Oh well.

You can find so many tutorials on deviantart.com! You can search for tutorials on pretty much anything, and especially anatomy! So sit down, and practice, and be patient! Here is a tutorial from deviantart on midtones! Now, it says that is a skin tutorial, but if you go down to the part with the shaded spheres, thats the midtone part. :) Good luck! Looking forward to see more.

So I look like that!? ;_;

On-Topic:

To be honest, this looks simple and there is nothing unique into just a color clash between Black and White and a simple face with an eyes only.

You could do better than this I do think. 2/5

What in the world is this? Anyway, Nice artistic way. But the Color combining is kinda Lacking.

1/5 - Lacking

Why? The color combinations are not too perfect, yet your artistic way is improving, You should do your best, My dear friend.

K... I'm not the best person to give feedback but since no one else wanted to do it, I'll try.

1. Stick to black atmosphere, you can make little red glow and sparkling effects around him but the background of the image should be mainly black or darker colors (to not attract the attention of the one viewing it).

2. Think of the shape, don't use so smooth shapes always, make some edged ones, check out some Warcraft 3 Icons (even though many of them are screenshots, they still have the good positioning of things and all this).

3. Make highlighted areas - the face. Leave the rest darkened, the arms and all, OR just zoom in a bit and look more at the face. Always darken the edges of an icon cuz.. I don't know, they just shouldn't attract attention... poor edges.

4. And now, think of what you're gonna draw. I mean, .. hmm... right now it looks a bit like an egg with eyes.. no offense. Don't go for plain shapes cuz .. cuz you can't do anything with them o_O all you have to give them color is light. No, go for something like.. something scaled, something with eyes, something that has a texture (like wood), or something that is like a sword - it has a handle, with leathery stuff, etc. etc. Try to evade plain shapes really. Also, even when making a face you can think of the skeletal structure --> that way it won't be such an oval object - http://www.kerniecamproductions.com/img/gallery/skullpencil_large.jpg look at this skull.. even though it uses only 1 color and is just a big ball with a jaw, it has these dents and all, that make it look 3dish and cool.

I like the way you made that sharp darkness on the left side, btw, it's really.. contrastish and it gives some life to the image.

Hmm... You can read tutorials about Icon Making if you want, they are really helpful.

For a first icon it looks really good, I mean, you've got the shading and all done pretty well but the shape is kinda lacking. Think of complicated shapes, not simple ones.. cuz the complicated ones are also easier to paint. Harder to draw, but easier to paint. And in icons, the paint is really, really important.
