So, if u improve the shading a bit (on the old one) he will look less flat and more defined.

It looks a bit more defined, but u haven't significantly improved the shading.
Still seems flat.
The tusk needs some highlights and the whole face better shading.
Regarding the shading(and proportions), i suggest u to observe/analyze some face reference pics/artworks and to read some 2D art tuts.
I'm waiting for improvements.
